Straightforward terms for a straightforward product. Diagnose exists to give clinicians back the time that paperwork stole. These terms govern how you use our platform. We have written them in plain language because we believe you should be able to read and understand what you are agreeing to without a legal degree.
What Diagnose provides
Diagnose provides an ambient AI documentation platform that listens to physician-patient encounters and generates structured, EHR-ready clinical notes. The service is provided on a subscription basis as described at the time of sign-up.
Diagnose is a documentation tool. It is not a medical device, a clinical decision support system, or a substitute for physician judgment. Every note generated by Diagnose is the responsibility of the physician who reviews and signs it. You should not submit a note to a patient record without reviewing it first.
We aim to maintain high availability but do not guarantee that the service will be uninterrupted or error-free at all times. We will communicate planned maintenance in advance wherever possible.
Your responsibilities
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately.
You agree to use Diagnose only for its intended purpose of clinical documentation. You will not attempt to reverse engineer, copy, or misuse any part of the platform. You will not use Diagnose to process data in a way that violates applicable law, including HIPAA and any other applicable healthcare privacy regulations.
You are responsible for ensuring that your use of Diagnose complies with the laws and regulations that apply to your practice or organisation, including obtaining any necessary patient consents required in your jurisdiction.
Payments and subscriptions
Diagnose is offered on a monthly subscription basis. Pricing is shown at the time of sign-up and may vary by plan tier or seat count. All fees are billed in advance and are non-refundable except where required by law or as otherwise agreed in writing.
For enterprise health system contracts, payment terms are set out in a separate order form. In the event of a conflict between these terms and an order form, the order form takes precedence.
If a payment fails, we will notify you and allow a grace period to resolve the issue before suspending access. We will not delete your data during a payment dispute without giving you reasonable notice.
Intellectual property
Diagnose and all technology, software, models, and content that make up the platform are owned by Diagnose Inc. and are protected by applicable intellectual property laws. Nothing in these terms grants you ownership of any part of the platform.
The clinical notes generated by Diagnose from your encounters belong to you and your organisation. We do not claim ownership over your notes, your patient data, or your encounter content.
Limitations and liability
Diagnose is provided as is and as available. To the fullest extent permitted by law, we make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any note generated by the platform.
In no event will Diagnose Inc. be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including clinical decisions made on the basis of generated notes. Our total liability to you for any claim arising under these terms will not exceed the amount you paid to us in the three months preceding the claim.
Nothing in these terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded by law.
Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not offer refunds for unused time within a billing period except where required by law.
We may suspend or terminate your access if you breach these terms, fail to pay fees after a reasonable grace period, or if we are required to do so by law. We will give you reasonable notice before terminating your account unless the breach is serious enough to warrant immediate action.
On termination, your access to the platform will end. Your clinical notes will remain accessible for export for 30 days following termination, after which they will be deleted in accordance with our Privacy Policy.
Changes to these terms
We may update these terms from time to time. When we make material changes, we will notify you by email and update the effective date at the top of this page. Your continued use of Diagnose after the effective date of any updated terms constitutes your acceptance of those terms.
We will never make changes that materially reduce your rights without giving you advance notice and a reasonable opportunity to cancel if you do not agree.
